Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Pulse Coder platform and related services (the "Service") provided by Psynapsis AI LLP ("Company", "we", "us", or "our"), operating as Mediclaim AI. By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

Pulse Coder is an AI-powered inpatient medical coding platform that assists medical coders by providing automated code suggestions, compliance validation, MS-DRG grouping, and payment estimation. The Service is a clinical decision support tool intended to assist trained medical coding professionals, not to replace their professional judgment.

2. Eligibility and Accounts

To use the Service, you must be at least 18 years old and authorized to act on behalf of the organization subscribing to the Service. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized access.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with applicable healthcare regulations, including HIPAA where applicable. You will not: reverse engineer, decompile, or disassemble any part of the Service; use the Service to process data in violation of any applicable law or regulation; attempt to gain unauthorized access to any systems or networks connected to the Service; use the Service to develop competing products; share account credentials with unauthorized users.

4. Clinical Responsibility Disclaimer

The Service provides AI-generated code suggestions and automated validation to assist medical coders. All AI outputs are suggestions only. The final determination of medical codes, DRG assignments, and claim submissions remains the sole responsibility of the licensed medical coding professional and the subscribing organization.

We do not guarantee the accuracy of AI-generated code suggestions. The validation engine enforces CMS rules as published, but coding guidelines are subject to interpretation and payer-specific variations. The MS-DRG grouper uses official CMS logic, but estimated payments are approximations based on the national base rate and do not account for facility-specific adjustments, outlier payments, or payer contract terms.

You acknowledge that the Service does not constitute medical advice, legal advice, or billing guidance. The Company is not liable for claim denials, underpayments, overpayments, or audit findings resulting from coding decisions made using the Service.

5. Subscription and Payment

Access to the Service requires a paid subscription. Pricing is based on the tier selected (Starter, Growth, or Enterprise), which determines included coder seats and monthly chart volume. Additional seats and charts are billed at the rates specified in your subscription agreement. Subscriptions are billed monthly. All fees are non-refundable except as required by applicable law. We reserve the right to modify pricing with 30 days' notice.

6. Data Ownership

You retain ownership of all clinical data, coded records, and audit trails generated through your use of the Service. We do not claim ownership of your data. We process your data solely to provide the Service as described in our Privacy Policy.

We retain the right to use aggregated, de-identified, non-PHI usage data to improve the Service, including AI model performance, validation rule accuracy, and product features.

7. HIPAA and Compliance

Where required, we will enter into a Business Associate Agreement (BAA) with subscribing organizations that are Covered Entities or Business Associates under HIPAA. Our obligations regarding PHI are governed by the BAA and applicable HIPAA regulations.

8. Service Availability

We aim to maintain high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible. We are not liable for downtime resulting from factors outside our reasonable control, including infrastructure provider outages, network failures, or force majeure events.

9. Intellectual Property

The Service, including its software, design, algorithms, validation logic, and documentation, is the intellectual property of Psynapsis AI LLP. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service during your subscription term. All CMS data (ICD-10 codes, DRG tables, MCE edits) used in the Service is public domain data published by the Centers for Medicare and Medicaid Services.

10. Limitation of Liability

To the maximum extent permitted by applicable law, the Company's total liability for any claims arising from or related to the Service shall not exceed the total fees paid by you in the 12 months preceding the claim. The Company shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to lost revenue from claim denials, audit penalties, or coding errors.

11. Termination

Either party may terminate the subscription with 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms or if required by law. Upon termination, we will provide an export of your data upon request within 30 days. After 90 days, your data will be deleted except where retention is required by law.

12. Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Pala, Kerala, India.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
